Filum — Terms of Service
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you ("you", the "End-User") and CorvidSoft, the trade name of the sole proprietorship (eenmanszaak) of Ivan Fossa Ferrari, based in Amsterdam, the Netherlands ("Filum", "we", "us"), governing your use of the Filum application and related services (the "App" or "Service").
By downloading, installing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.
2. What Filum is
Filum is a zero-knowledge, encrypted document vault for iOS. Your documents are encrypted on your device before they are backed up or synced, using keys derived from a 24-word recovery key that the app generates for you. We cannot read, decrypt, or recover the contents of your vault. Certain features, including automatic document classification and field extraction, run on your device using Apple's on-device Foundation Models.
3. Eligibility
You must be at least 16 years old (and, where required to enter into a binding contract, the age of majority in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement.
4. Your recovery key and the zero-knowledge trade-off — please read carefully
- When you set up Filum, the app generates a 24-word recovery key on your device. This recovery key is the single secret from which your encryption keys are derived, and it is the only means of decrypting your data. Filum does not use a separate password.
- We do not store your recovery key or your encryption keys, and we have no ability to obtain or recover them.
- If you lose your 24-word recovery key, your data will be permanently and irreversibly inaccessible. No one — including us — can restore it. This is a deliberate consequence of the App's privacy design, not a defect.
- You are solely responsible for recording and safeguarding your recovery key (for example, by writing it down and storing it somewhere safe), and for maintaining your own copies or exports of important documents where appropriate.
You are responsible for all activity under your account and for keeping your device secure.
5. Subscriptions, pricing, and payments
5.1 Free tier and Premium
Filum offers a free tier (which includes storage for up to 25 documents) and a Premium subscription that unlocks additional capacity and features. The features included in each tier, and the current prices, are shown in the App and on the App Store at the time of purchase, in your local currency. Indicative Premium pricing is approximately [$5 per month or $40 per year]; the price shown at the point of purchase is authoritative.
5.2 Auto-renewable subscription terms (Apple)
Premium is an auto-renewable subscription sold through the Apple App Store. The following terms apply:
Payment will be charged to your Apple ID account at confirmation of purchase. The subscription automatically renews unless it is cancelled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions by going to your Apple ID account settings on the App Store after purchase.
Where a free trial or introductory offer is provided, the duration and post-trial price will be clearly disclosed at the point of purchase, and any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
5.3 Managing and cancelling
You manage, upgrade, downgrade, and cancel your subscription through your Apple ID settings, not through Filum. To avoid renewal, cancel at least 24 hours before the current period ends.
5.4 Refunds
Purchases are processed by Apple. Refund requests for App Store purchases are handled by Apple in accordance with Apple's policies and applicable consumer law; we generally cannot issue refunds directly for App Store transactions. Nothing in these Terms limits any statutory refund or withdrawal rights you have under applicable consumer protection law.
6. License
Subject to these Terms, we grant you a personal, non-transferable, non-exclusive, revocable license to use the App on Apple-branded devices that you own or control, in accordance with the App Store Usage Rules and applicable law. This license is for your own use of the Service; it does not transfer ownership of the App to you.
7. Your content
You retain all rights to the documents and content you store in Filum ("Your Content"). Because Your Content is end-to-end encrypted and we cannot access it, we do not claim any license to its contents beyond the purely technical operations (encrypted storage, transmission, and sync of ciphertext) required to provide the Service at your direction. You are solely responsible for Your Content and for having the right to store it.
8. Acceptable use
You agree not to:
- use the App for any unlawful purpose or to store content you are not legally permitted to store;
- attempt to breach, probe, or circumvent the security of the Service or other users' data;
- interfere with or overload the Service, or attempt to gain unauthorized access to our systems;
- reverse-engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by applicable law or permitted by the license terms of any open-source components; or
- resell, redistribute, or sublicense the App or Service.
Note: the open-source cryptographic core is separately available under its own open-source license, and your rights to that component are governed by that license.
9. Intellectual property
The App, its design, and its underlying software (other than open-source components and Your Content) are owned by Filum and its licensors and are protected by intellectual property laws. These Terms grant you no rights to our trademarks or branding.
10. Disclaimers
To the maximum extent permitted by applicable law, the App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In particular, and without limiting the above: we do not warrant that the Service will be uninterrupted or error-free, and — given the zero-knowledge design — we cannot and do not guarantee that data will be recoverable if you lose your 24-word recovery key. You are responsible for maintaining your own backups of critical documents.
On-device document classification and field extraction are provided for convenience and may not be fully accurate; you should not rely on them without verification.
Nothing in this section limits any warranty or liability that cannot be excluded under applicable law (including mandatory consumer protection law in your country of residence).
11. Limitation of liability
To the maximum extent permitted by applicable law, Filum will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising out of or relating to your use of (or inability to use) the Service. To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or €50. These limits do not apply to liability that cannot be limited under applicable law.
12. Termination
You may stop using the App and delete your account at any time from within the App. We may suspend or terminate your access if you materially breach these Terms or use the Service unlawfully. On termination, your license ends and your data is handled as described in the Privacy Policy.
13. Governing law
These Terms are governed by the laws of the Netherlands, and disputes will be subject to the courts of Amsterdam, except that this does not deprive you of the protection of any mandatory consumer-protection provisions of the law of the country where you reside.
14. Changes
We may update these Terms from time to time. For material changes we will provide notice in the App or on our website and update the "Last updated" date. Continued use after changes take effect constitutes acceptance.
15. Apple App Store — additional terms (EULA minimum terms)
These Terms function as the End-User License Agreement for the App. The following terms are required by Apple and apply to your use of the App obtained through the Apple App Store:

Acknowledgement. This agreement is concluded between you and Filum only, and not with Apple. Filum, not Apple, is solely responsible for the App and its content. These Terms may not provide usage rules for the App that conflict with the Apple Media Services Terms and Conditions.

Scope of license. The license granted to you is a non-transferable license to use the App on any Apple-branded product(s) that you own or control, as permitted by the App Store Usage Rules.

Maintenance and support. Filum is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services for the App.

Warranty. Filum is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any) to you; to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Filum's sole responsibility.

Product claims. Filum, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. These Terms do not limit Filum's liability to you beyond what is permitted by applicable law.

Intellectual property rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Filum, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

Legal compliance. You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-party terms. You must comply with applicable third-party terms of agreement when using the App.

Third-party beneficiary. You and Filum acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
